  1. 1. Agreement OverviewThese Terms of Service ("Terms") govern your access to and use of aiworksforus services, websites, APIs, and applications (collectively, the "Service"). By registering for or using the Service you agree to comply with and be bound by these Terms. If you do not agree, do not use the Service.2. Changes to TermsWe may update these Terms at any time. Description of Serviceaiworksforus delivers AI‑driven voice, SMS, WhatsApp, and web‑chat agents that handle inbound communications, qualify leads, schedule appointments, and integrate with your systems. Features vary by plan.4. Registration and Your Account
    • Eligibility. You must be at least 18 years old and have authority to enter into this agreement.
    • Account Information. You agree to provide accurate, current, and complete information. You're responsible for safeguarding your credentials and for all activity under your account.
    • Account Sharing. If you permit multiple users to access your account, you remain fully responsible for all activities and agree to ensure all users comply with these Terms.
    • Suspension. We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.
    5. Acceptable Use
    • You may not use the Service to transmit spam, violate laws, infringe others' rights, or engage in fraudulent or abusive behavior.
    • You will not reverse‑engineer, decompile, or otherwise attempt to extract source code.
    • You grant us a non‑exclusive license to use data you supply solely to provide and improve the Service.
    • Prohibited Content. You may not use the Service to generate, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of privacy.
    • Rate Limits. You agree to respect API rate limits and usage quotas as specified in your plan.
    6. AI-Specific Terms
    • Model Behavior. AI models may produce unexpected or inaccurate outputs. You acknowledge that AI responses are generated based on training data and algorithms, and may not always be accurate, appropriate, or suitable for your specific use case.
    • Training and Improvement. We may use aggregated, anonymized interaction data to improve our AI models, unless you opt out through account settings.
    • Bias and Fairness. While we strive to minimize bias in our AI systems, you acknowledge that AI models may exhibit biases present in training data or model architecture.
    • Human Oversight. For critical applications, you agree to implement appropriate human oversight and not rely solely on AI-generated responses.
    7. Data Processing and Security
    • Data Security. We implement industry-standard security measures including encryption at rest and in transit, access controls, and regular security audits.
    • Data Processing. We process your data solely to provide the Service and as described in our Privacy Policy.
    • Data Breach Notification. In the event of a security breach affecting your data, we will notify you within 72 hours of becoming aware of the breach.
    • Data Retention. We retain your data as specified in our Data Retention Policy, typically for the duration of your subscription plus 90 days, unless longer retention is required by law.
    • Data Portability. Upon request, we will provide your data in a commonly used, machine-readable format.
    8. Fees and Payment
    • Plans & Billing. Fees, overage rates, and billing intervals are set on our website and in your order form. Monthly plans renew automatically until cancelled.
    • Taxes. You're responsible for all applicable taxes.
    • Non‑Payment. If payment fails, we may suspend or terminate your access.
    • Refund Policy. Refunds are provided on a pro-rata basis for unused subscription periods only in cases of service unavailability exceeding our SLA commitments. Setup fees and usage-based charges are non-refundable.
    • Price Changes. We may change prices with 30 days' written notice. Changes take effect at your next billing cycle.
    9. Service Level Agreement
    • Uptime Commitment. We strive to maintain 99.5% uptime for our core services, measured monthly.
    • Response Time. Support response times vary by plan: Basic (48 hours), Professional (24 hours), Enterprise (4 hours).
    • Scheduled Maintenance. We may perform scheduled maintenance with 24 hours' notice, typically during low-usage periods.
    • Service Credits. If we fail to meet uptime commitments, you may be eligible for service credits as detailed in our SLA policy.
    10. Third-Party Integrations
    • Integration Responsibilities. You are responsible for maintaining valid licenses and compliance with third-party services you integrate with our platform.
    • Integration Limitations. We are not responsible for the availability, performance, or changes to third-party services that may affect integrations.
    • Data Sharing. Integrations may involve sharing data with third parties according to your configuration and their respective privacy policies.
    11. Compliance and Regulatory
    • GDPR Compliance. For EU users, we comply with GDPR requirements including data subject rights, lawful basis for processing, and data protection impact assessments.
    • CCPA Compliance. For California residents, we comply with CCPA requirements including consumer rights and data handling obligations.
    • Industry Regulations. If you operate in regulated industries (healthcare, finance, etc.), you are responsible for ensuring your use of the Service complies with applicable regulations.
    • Audit Rights. Enterprise customers may request security and compliance documentation, including SOC 2 reports, upon reasonable notice.
    12. Beta and Experimental Features
    • Beta Access. We may offer access to beta features that are not part of your standard plan. Beta features are provided "as is" without warranties.
    • Feedback. By using beta features, you agree to provide feedback and acknowledge that we may use such feedback without compensation.
    • Discontinuation. Beta features may be discontinued at any time without notice.
    13. Professional Services
    • Implementation Services. If we provide implementation or consulting services, they are governed by separate professional services agreements.
    • Custom Development. Any custom development work requires a separate statement of work and may involve additional intellectual property arrangements.
    14. Intellectual PropertyAll rights, title, and interest in the Service—excluding your content—belong to aiworksforus. You retain ownership of any data or materials you upload. We do not acquire ownership of your content.
    • Trademark Usage. You may not use our trademarks without prior written consent.
    • Feedback License. Any feedback you provide about the Service may be used by us without restriction or compensation.
    15. User Generated Content
    • Content Responsibility. You are solely responsible for all content you create, upload, or transmit through the Service.
    • Content Monitoring. We reserve the right to monitor content for compliance with these Terms but have no obligation to do so.
    • Content Removal. We may remove content that violates these Terms without notice.
    16. ConfidentialityEach party agrees to protect the other's confidential information and use it only to perform its obligations under these Terms. This obligation survives termination.17. PrivacyOur Privacy Policy explains how we collect and use personal data. By using the Service, you consent to those practices.18. Monitoring and Analytics
    • Service Monitoring. We monitor Service performance and usage to ensure quality and security.
    • Usage Analytics. We collect aggregated usage data to improve the Service and may share anonymized statistics publicly.
    • Performance Metrics. Your dashboard provides access to performance metrics and usage data for your account
    19. DisclaimersThe Service is provided "as is" and "as available." We do not guarantee uninterrupted or error‑free operation. To the fullest extent permitted by law, aiworksforus disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

20. Limitation of LiabilityTo the maximum extent permitted by law, neither party will be liable for lost profits, lost data, or any indirect, incidental, consequential, or punitive damages arising out of or related to these Terms or the Service—even if advised of the possibility of such damages. Our total aggregate liability under these Terms will not exceed the fees you paid to us in the three months preceding the event giving rise to liability

.21. IndemnificationYou agree to defend, indemnify, and hold aiworksforus and its officers, directors, and employees harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Service.

22. Force MajeureNeither party will be liable for any delay or failure to perform resulting from causes beyond their reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet service provider failures.

23. Term and Termination24. Export ControlsYou will not export or re‑export the Service in violation of U.S. export laws or regulations.25. Reseller and Partner Terms

  • Channel Partners. If you access the Service through a reseller or partner, additional terms may apply as specified in your agreement with that party.
  • Partner Responsibilities. Partners must ensure their customers comply with these Terms.
26. Governing Law; Dispute ResolutionThese Terms and any disputes will be governed by the laws of New York, without regard to conflict‑of‑law principles. Any legal action must be brought in federal or state courts located in New York County, New York.
  • Arbitration. For disputes involving amounts less than $10,000, either party may elect binding arbitration under American Arbitration Association rules.
  • Class Action Waiver. You agree not to participate in class action lawsuits against us.

  1. Term. These Terms remain in effect while you use the Service.
  2. Termination by You. You may cancel your subscription at any time through your account settings.
  3. Termination by Us. We may suspend or terminate your access immediately if you breach these Terms or for security reasons.
  4. Effect of Termination. Upon termination, your right to use the Service ends; we may delete your data in accordance with our Data Retention Policy.
  5. Survival. Provisions regarding confidentiality, intellectual property, indemnification, and limitation of liability survive termination.

Miscellaneous

Severability. If any provision is invalid, the remainder will remain in full force
.No Waiver. Our failure to enforce any right is not a waiver.
Assignment. You may not assign these Terms without our prior written consent. We may assign without restriction.
Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Service
.Language. These Terms are written in English, and any translations are for convenience only.
